Terms and Conditions

These Terms govern the use of SYNOPI Business AI services, websites, and related software provided by Synchronous ICT Ltd.
1. Parties
These Terms form a legal agreement between Synchronous ICT Ltd. ("SYNOPI", "we") and the subscribing customer entity ("Customer", "you").
2. Service Scope
SYNOPI provides AI-powered customer communication services that may include voice AI, chat AI, booking/order workflows, campaign tooling, escalation handling, and administrative dashboards, based on your selected plan.
3. Account Responsibility
- You are responsible for account credentials, role permissions, and authorized users.
- You must provide accurate registration and billing information.
- You must promptly report suspected unauthorized account activity.
4. Acceptable Use
You may not use SYNOPI for unlawful, abusive, fraudulent, deceptive, harmful, or rights-infringing activity, including:
- Unauthorized data collection or surveillance.
- Spam campaigns without required consent.
- Collection of prohibited payment credentials in violation of policy.
- Attempts to bypass security controls, rate limits, or access restrictions.
5. Customer Content and Data
- You retain ownership of your business data and customer records submitted to the platform.
- You grant SYNOPI the right to process that data to provide, secure, and support the service.
- You represent that you have the rights and legal basis to process customer data through SYNOPI.
6. Pricing, Billing, and Taxes
- Plan fees, usage rates, and add-ons follow your order form or accepted commercial proposal.
- Listed website prices are generally in BDT and before applicable VAT unless stated otherwise.
- Usage-based charges (for example per voice minute/per session) are billed according to measured service usage.
- You are responsible for applicable taxes, duties, and regulatory charges unless legally exempt.
7. Payment Terms
- Invoices are due according to the payment window shown on invoice or agreement.
- Late or unpaid balances may result in service restriction or suspension after reasonable notice.
- Disputed charges must be raised in writing within the dispute window in your agreement or policy.
8. Integrations and Third-Party Dependencies
Some service features depend on third-party channels/providers (for example telecom lines, messaging channels, payment rails, gateways, or cloud services). Service quality for those components may be affected by provider outages, policy changes, or account-level restrictions outside SYNOPI's direct control.
9. Security and Compliance Cooperation
SYNOPI applies technical and organizational controls designed for service security. Customers are responsible for configuring lawful workflows, consent controls, and any industry-specific compliance requirements relevant to their business model.
10. Suspension and Termination
- Either party may terminate according to agreed contract notice terms.
- We may suspend or terminate access for material breach, unlawful use, non-payment, or immediate security risk.
- On termination, data handling/export/deletion follows contract and retention obligations.
11. Intellectual Property
All rights in SYNOPI software, platform design, documentation, and underlying technology remain with Synchronous ICT and its licensors, except for Customer-owned data and content.
12. Warranties and Disclaimers
SYNOPI is provided on a commercial reasonable-effort basis subject to plan-level commitments and SLAs where applicable. Except as explicitly agreed in writing, implied warranties are disclaimed to the maximum extent permitted by law.
13. Limitation of Liability
To the extent permitted by law, neither party is liable for indirect, incidental, special, or consequential losses (including lost profit/revenue/opportunity). Aggregate liability under these Terms is limited to amounts paid/payable for the affected service period, except where law requires otherwise.
14. Governing Law and Disputes
These Terms are governed by the laws of Bangladesh unless a signed enterprise agreement states otherwise. Parties will first attempt good-faith resolution before formal legal proceedings.
15. Updates
We may update these Terms to reflect service, legal, or operational changes. Material changes are published with updated effective date.
